A foreign company unready to incorporate a company or subsidiary in Singapore may opt for a branch office, a structure designed to be an extension of a parent foreign corporation and be able to carry out businesses to the benefit of the foreign corporation.

In Singapore, a branch office does not have its own legal personality. Because it is created as an extension, its directors cannot make a decision on their own. They have to wait for the decision from the parent corporation offshore.

“During the registration, a branch does not formulate its own Memorandum and Articles of Association. Instead, it is the foreign corporation’s Memorandum and Articles of Association that is submitted to ACRA,” explains Asiabiz.

The Memorandum and Articles of Association shall contain the names of all directors and their personal information including their residency if they are in Singapore. It also names the local directors and their specific duties and powers.

“Two other documents required are the certified copy of the foreign company’s Certificate of Incorporation and Memorandum of Appointment or Power of Attorney and particulars of two agents appointed to assist in the administration of the branch,” adds Asiabiz.

The two agents are a requirement. They can be of ordinary residence such as a citizen or a permanent resident.

“By obtaining an Employment pass, a foreign national can be appointed as an agent as well,” assures Asiabiz’s business consultant.

Asiabiz includes the processing of work visas as among its specializations. It also offers nominee agent service for statutory compliance. As soon as the Employment pass is released by the Ministry of Manpower, the title is transferred to the appointed.

“Meanwhile, nominee agents can be of help to the branch in any way legal and possible,” assures Asiabiz.

Even when the branch office shall use the name of the foreign corporation, it still needs to be registered. And should ACRA find it identical to another already registered company or violates a trademark, ACRA shall allow the branch office to register another name.
