Many entrepreneurs spent endless time coining their business name. It should be clever to arouse the interest of consumers. Yet, most consumers choose a brand that is easily lodged in a memory. A few investors spent money to consult on experts and professionals in choosing the best business name, after all, a name can make or break a business.
In Singapore, however, the government implemented guidelines on how a business should be named. A company cannot pursue registration with ACRA unless its name has been approved. A Rikvin business consultant has something to say of the subject.
“A business name must be exclusive and one of a kind. It should not be mistaken for another company except for what it truly represents in the market.”
In order for a company not to be mistaken for another, a proposed business name should not contain words or phrases similar to an existing company. Blue Boutique, for example, resembles Blue Dress Shoppe, which is an existing business, and hence, is not approved, especially, that it belongs to the same industry the Blue Dress Shoppe does.
“The same thing can be said of Ideas for Party and Gift to Gift and Party Ideas,” adds Say Hun pointing out that name copied from an existing business but re-arranged to form a new one is strictly prohibited.
Singapore’s restriction on name resemblance encompasses the ones reserved with ACRA under the Company Act, Limited Liability Act, and Partnership Act.
“Upon approval by ACRA, the names of business can be reserved for two months and can be extended for another period after making an official request with ACRA,” Says Rikvin.
Rikvin provides company registration in behalf of foreign companies and investors as the latter are not yet eligible to initiate the tasks by themselves unless they hold a labor pass. Thus, Rikvin has the resources to check whether the proposed business name is available or already taken.
Foreigners may reserve a business name even when the formal registration of a company shall not commence until after a few months. This is to ensure that the business name the entrepreneurs come up with can still be valid and available.
