In sole proprietorship and a partnership company, Rikvin says that after an approval of a business name, it can proceed to its setup by endorsing the application together with the necessary documents unless it needs additional business permits from other Government authorities.
For a private limited company, Rikvin states that the investors “have 60 days to register the company following the approval of its business name,” while for limited liability, “the registration should be complete within 2 months.”
Among its requirements are at least 1 shareholder, 1 resident director, 1 company secretary, and a local company address. The minimum initial paid-up share capital is S$1. The maximum number of shareholders for a private limited company is 50 and its detail must appear on public records. When it comes to directors, who can also be the shareholders and vice-versa, there is no limit to its number.
If the investor does not seek for relocation, a local resident director must be appointed as the head of the company. This individual must be a Singaporean citizen, permanent resident, or a holder of a valid working visas.
Should investors seek for relocation for themselves including their family or for their foreign staff, an Employment or Entrepreneur Pass is required.
Within 6 months from its registration, the company must “appoint a company secretary of ordinary residence,” Rikvin continues its elaboration. This means that the individual must be a citizen or permanent resident of Singapore.
On the other hand, the Memorandum of Association ought to specify the activities that the company will engage in while the Articles of Association contains the rules governing the internal management of the company.
